1. Introduction
Welcome to PulsePay. These Terms of Use (“Terms”) govern your access to and use of PulsePay’s platform, services, tools, applications, APIs, and associated software (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any other applicable policies referenced herein.
If you do not agree with these Terms, please do not use our Services.
2. About PulsePay
PulsePay LTD (“PulsePay”, “we”, “us”, or “our”) provides a customizable white-label payment service provider (PSP) platform, enabling licensed financial institutions, fintech businesses, and e-commerce platforms to process digital transactions securely and efficiently.
IMPORTANT: PulsePay is not a licensed financial institution. Our Services are designed to support businesses who are duly licensed or otherwise authorized to offer financial services within their operating jurisdictions.
3. Eligibility
To use our Services, you must:
- Be a legal entity with the capacity to enter into binding agreements.
- Have all necessary licenses, regulatory approvals, and authorizations to operate as a PSP, EMI, or payment facilitator.
- Ensure that your end users are compliant with your own Terms and regulatory obligations.
You represent and warrant that the information you provide to PulsePay is accurate, current, and complete.
4. Account Registration & Access
To access the Services, you must create an account with PulsePay. You are responsible for:
- Maintaining the confidentiality of your credentials.
- Ensuring that only authorized users within your organization access the Services.
- Notifying PulsePay immediately if you suspect any unauthorized access or breach of security.
We reserve the right to suspend or terminate your access in case of violation of these Terms or applicable law.
5. Service Scope & Restrictions
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:
- Use the Services to process or support illegal transactions, money laundering, or fraud.
- Resell or sublicense the Services without prior written consent from PulsePay.
- Modify, reverse-engineer, or attempt to derive the source code of any part of the platform.
- Use the platform in any manner that may damage, disable, overburden, or impair PulsePay systems.
6. Intellectual Property
PulsePay retains all rights, title, and interest in the Services, including all software, trademarks, logos, and related materials. You are granted a non-exclusive, non-transferable, revocable license to use the Services solely for your internal business operations under your brand, subject to these Terms.
7. Data Protection
Both parties agree to comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) and any other local legislation.
You are solely responsible for the lawful collection, processing, and retention of your end-user data. PulsePay acts as a data processor on your behalf and provides tools to help you fulfill your regulatory obligations.

8. Fees and Payments
PulsePay charges fees based on the service agreement signed between your company and PulsePay LTD. All fees are non-refundable unless otherwise specified in the agreement.
Failure to pay applicable fees may result in service suspension or termination.
9. Third-Party Services
PulsePay may integrate with third-party payment providers, KYC/AML services, and banking partners. We are not responsible for the actions or availability of such third-party services. Any disputes must be resolved between you and the third party.
10. Service Availability & Updates
While we strive to ensure uninterrupted service, PulsePay does not guarantee 100% uptime. We may perform scheduled or emergency maintenance, or introduce updates that may temporarily impact service availability.
We will endeavor to provide reasonable notice in advance of any planned outages.
11. Termination
We may suspend or terminate your access to the Services if:
- You breach these Terms or any applicable laws.
- You become insolvent or cease business operations.
- You use the platform in a manner that harms PulsePay or other users.
Upon termination, your license to use the Services will be revoked, and access to the platform will be restricted.
12. Disclaimers & Limitation of Liability
PulsePay provides its Services “AS IS” and disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, PulsePay shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of the Services.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.
Any dispute arising from these Terms will be resolved through negotiation and, if necessary, arbitration in Nicosia, Cyprus.
14. Modifications to Terms
We may revise these Terms from time to time. We will notify you of material changes via email or platform notification. Continued use of the Services after such changes constitutes your acceptance of the updated Terms.
